Terms of Service

Effective date: [Confirm effective date]

1. The Service

Cairnscript provides revenue-cycle workflow software that can organize billing work and offer coding suggestions for human review. Current public pilot examples and evidence use synthetic, fictional data. The service is not represented as sending claims or other information to payers, guaranteeing reimbursement, or replacing the judgment of qualified people. Features may vary by pilot or written agreement.

Suggestions and workflow information are decision-support material. Your authorized personnel remain responsible for reviewing and approving coding, billing, claim, and payment decisions before taking action.

2. Accounts and Customer Responsibilities

Provide accurate account information, keep sign-in credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring each person using the service is authorized to do so.

You must have the rights and permissions needed for information you provide, use the service lawfully, and independently review outputs before relying on them. Do not use the current synthetic-data pilot with real patient information or other protected health information (PHI). Cairnscript will only handle PHI if and when the parties have first established the required written authorization, including a business associate agreement where applicable, and the supporting safeguards.

3. Acceptable Use

You may not use the service to:

  • Break the law, violate another person's rights, or submit information without authorization.
  • Transmit malicious code, disrupt the service, or attempt unauthorized access or security testing.
  • Reverse engineer or interfere with the service except where applicable law permits.
  • Bypass human-review requirements or use an output as an automatic claim submission or payment decision.

4. Content and Intellectual Property

As between you and Cairnscript, you retain your rights in information and materials you submit. You grant Cairnscript permission to use those materials as reasonably needed to provide the service and meet our obligations to you. Cairnscript and its licensors retain their rights in the service, software, and related materials. These terms do not transfer either party's ownership to the other.

If you send suggestions or feedback, Cairnscript may use them to improve its offerings without restriction or payment, provided it does not disclose your confidential information in doing so.

5. Privacy and Sensitive Information

Our Privacy Policy describes website information practices. The current pilot is described as synthetic-only and is not for real patient information or PHI. Do not submit sensitive information unless Cairnscript has confirmed in a separate written agreement that the service is prepared and authorized to receive it.

6. Fees and Payment

Any applicable fees, billing schedule, renewal terms, cancellation rights, and refund rules must be stated in the order form or other written terms accepted by you. [Confirm whether service plans have fees, renew automatically, or have specific cancellation or refund terms.] If these terms conflict with an accepted order form on a specific commercial point, the order form controls for that point.

7. Service Changes, Suspension, and Termination

Cairnscript may update or discontinue features. We may suspend or restrict access when reasonably needed to address a material breach, a security or service risk, or a legal requirement. Either party may end a service relationship as provided in its accepted order form or other written agreement. [Confirm notice, suspension, termination, and data-return terms.]

8. Warranty Disclaimer

To the fullest extent permitted by law, the service is provided “as is” and “as available,” without warranties other than those expressly stated in a signed agreement. Cairnscript does not promise that a code suggestion will be correct, a payer will accept a claim, reimbursement will be obtained, or the service will be uninterrupted or error-free. Nothing here limits a warranty or right that cannot lawfully be excluded.

9. Limits on Liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, or data arising from these terms or the service. [Confirm all exclusions and carve-outs.]

Proposed template default — requires confirmation: Cairnscript's total aggregate liability arising out of or relating to the service or these terms would be limited to the fees paid or payable for the service in the twelve months before the event giving rise to the claim. [Confirm the cap, the period, whose liability it limits, and any carve-outs.] These limits do not apply where prohibited by law or to liability that cannot legally be limited.

10. Changes to These Terms

We may update these terms by posting a revised version with a new effective date. Where required by law or an accepted written agreement, we will provide notice or obtain consent before a change applies. Continued use after an effective change constitutes acceptance only where applicable law permits.

11. Governing Law and Disputes

These terms are governed by the laws of [Confirm governing jurisdiction], without regard to conflict-of-law principles. Any dispute will be brought in the courts located in [Confirm dispute venue], unless applicable law requires another venue.
